AGREEMENT TERMS & CONDITIONS
RESALE RIGHTS
All wholesale orders must be purchased only by retailers that will charge the end user sales tax. Buyer must have the right to purchase products without taxes and assume the responsibility of charging and reporting appropriate taxes.
MSRP
All Minnidip products have a suggested retail price (MSRP) listed on the linesheet and product listing: pools are $70, tubes are $28 and beach balls are $18. Retailers retain the right to charge above the MSRP; however, they may not charge less than the suggested retail price. In the event that the Wholesale Account chooses to place the Minnidip products on sale at a discount, the Wholesale Account cannot discount the products more than 20% below MSRP without the approval of La Vaca. Fixed or permanent discounts are not allowed.
WEB COMMERCE
In order to keep marketplace pricing fair for all of our retailers and wholesalers, no products or goods purchased from or produced by La Vaca shall be resold by or through any online auction or online platform (such as Amazon, Ebay, Etsy, Jet, Shoptique or other similar sites). La Vaca products shall only be sold online on websites submitted and approved during the wbolesale application process. Failure to fully disclose all sites that Buyer intends to or sells products on will lead to immediate account review and termination.
PAYMENT METHODS/INVOICING
La Vaca does not offer credit at this time and payment must be received prior to shipment or in-person delivery. We currently accept the following payment methods: Visa, MasterCard, American Express and Discover.
SHIPPING/HANDLING
Buyer is responsible for all shipping charges which will be presented at time of invoice and must be paid in full for products to ship. La Vaca ships all wholesale orders via FedEx Ground service, unless other arrangements are requested by Buyer at time of order. If Buyer has a FedEx account they would like shipments to be billed to, it must be provided on the wholesale application or requested at time of order placement.
RETURNS
It is the responsibility of Buyer to inspect, upon receipt, that all merchandise delivered matches its order. A written authorization from La Vaca must be obtained by Buyer for any returned merchandise. All returns must be made within 7 days of receipt of goods. Returns will only be granted in the event of damaged or defective goods.
sales in us, canada, and puerto rico only
At this time, La Vaca products can only be sold within the United States, Canada, and Puerto Rico. Wholesalers shall not sell or ship La Vaca products outside of these countries. La Vaca assumes no liability on products shipped or sold to countries outside of the United States, Canada, and Puerto Rico. Wholesale Account assumes all liability on products sold outside of the approved countries (the United States, Canada, and Puerto Rico) and Wholesale Account will be revoked.
New Retail Locations & Transshipping
All locations and companies where the products will be sold must be disclosed and approved by La Vaca. Transshipping to locations that have not been disclosed to and approved by La Vaca is not allowed. La Vaca products will be pulled from locations that are not approved and the Wholesale Account will be revoked.
